A2Z REAL ESTATE ADVERTISING TERMS AND CONDITIONS


  1. GENERAL TERMS
    These terms and conditions (the "Terms"), along with the Marketing Agreement by and between A2Z Real Estate Depot ("A2Z") and the Advertiser identified therein are hereinafter collectively referred to as the "Advertising Agreement" or the "Agreement" set forth the terms upon which you shall be permitted to advertise on the A2Z Real Estate Depot Website. A2Z may change these Terms at any time in its sole discretion by posting revised Terms to the A2ZRealEstateDepot.com Website. All featured listings must conform to the specifications set forth in these Terms, the Marketing Agreement, and the Client's applicable marketing policy, if any (the "Advertising Standards"). Advertiser agrees that A2Z has the right to market, display, perform, transmit, and promote the Featured Listing, and users of the A2Z Website have the right to access and use the Featured Listing and any content and/or services directly linked to the Featured Listing. A2Z will use commercially reasonable efforts to ensure the Featured Listing substantially conforms to the description set forth in the Marketing Agreement. If Advertiser's selected category is deleted during the term of this Agreement, A2Z may place the Featured Listing in a comparable category. A2Z reserves the right to change the overall format of the Featured Listing upon notice to the Advertiser.
  2. COMPLIANCE WITH ADVERTISING STANDARDS
    A2Z reserves the right to reject any Featured Listing that is not consistent with the Advertising Standards. In addition, A2Z shall have the right, at any time, to remove any Featured Listing and/or terminate this Agreement if A2Z is directed to do so by Client or any law enforcement agency, court, or government agency or if A2Z is directed to do so by Client or any law enforcement agency, court or government agency or if A2Z determines, in its sole discretion, that the Featured Listing, or any portion thereof (i) violate A2Z Advertising Standards; (ii) violate any law, rule or regulation; (iii) are the subject of a third party claim of infringement, misappropriation, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity or (iv) are otherwise objectionable to A2Z. In such event, Client's sole remedy shall be that A2Z (i) will display a different Featured Listing as mutually agreed upon by the parties or (ii) if A2Z or Advertiser cannot agree on the display of such other Featured Listing will refund to Advertiser a pro rata portion fo the fee which Advertiser has paid to A2Z for display of the Featured Listing.
  3. ADVERTISER WARRANTIES
    Advertiser is solely responsible for any legal liability arising out of or relating to the Featured Listing. Advertiser represents and warrants that (i) the Featured Listing complies with A2Z Advertising Standards (ii) Advertiser holds the necessary rights to permit the use and display of the Featured Listing by A2Z for the purposes of this Agreement; (iii) the use, reproduction, distribution, or transmission and display of the Featured Listing by A2Z will not violate any civil or criminal laws, rules or regulations or any rights of any third parties. Advertiser agrees to indemnify and defend and hold A2Z harmless from any and all liability, loss, damages, claims, or causes of action including reasonable legal fees and expenses that may be incurred by A2Z, arising out of related to the Featured Listing or Advertiser's breach of any of the foregoing representations and warranties.
  4. LEVEL OF SERVICE
    Advertiser acknowledges and agrees that A2Z financial success relies in part upon Website visitors and repeat Website visitors. Advertiser acknowledges and agrees that visitors may associate any bad experiences with vendors or service provider Advertiser with A2Z. Advertiser agrees to provide clients and customers it receives via the A2Z Website with quality customer service or goods, such quality must be comparable to a vendor or service provider in a similar industry in a similar locale. Advertiser agrees to maintain a level of service and standard of quality in operations, communication, timing of deliveries, and workmanship that is comparable to the service providers and vendors in a similar industry in a similar locale. Advertiser acknowledges and agrees that responsiveness, technical competence, skillfulness and adequate customer service must meet a level of quality that is comparable to a vendor or service provider in a similar industry in a similar locale. Upon receipt of compensation or consideration from A2Z Website visitors, Advertiser must provide the goods and/or services for which it has been paid or must refund such Website visitors according to a refund policy that is reasonable compared to other refund policies by other vendors and service providers in a similar industry in a similar locale.

  5. GENERAL
    These Terms supersede all prior discussions and agreements between the parties concerning the subject matter hereof, constitute the entire agreement between the parties, and may be modified or supplemented only by a written document signed by authorized representative of each party. There are no covenants, promises, agreements, conditions, or understandings, either oral or written, between the parties relating to the subject matter of this Agreement other than as set forth herein. No representation or warranty has been made by or on behalf of a party to this Agreement or any officer, director, agent, or employee thereof, to induce the other party to enter into this Agreement, except representations and warranties expressly set forth herein. Neither party shall be liable for delays in performance hereunder due to causes beyond its reasonable control, including, but not limited to, acts of God, strikes, inability to obtain labor or materials on time, any delay, failure, interruption, or corruption of data or other transmission over any local exchange, interexchange or Internet backbone carrier lines or through routers, switches or other devices owned, maintained and serviced by any third party carrier or utility or internet service provider beyond the control or jurisdiction of A2Z. All notices and communications between the parties to this Agreement shall be addressed to courier with a return receipt or evidence of delivery required for all notices. This Agreement shall be governed by the laws of the State of Georgia. A2Z and Advertiser are independent contractors and neither A2Z nor Advertiser is an agent, representative or partner of the other.
